1. Acceptance of Terms

By accessing or using the Offtrack Developer API (the “API”) at developer.offtrack.com, you (“Developer” or “you”) agree to be bound by these Terms of Service (“Terms”). If you are accessing the API on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the API.

These Terms constitute a legally binding agreement between you and MIXONSET Inc. (“Offtrack,” “we,” or “us”), the company operating the Offtrack platform.

 

2. API Access and Account Registration

To use the API you must:

• Register for an account through the My Account section of developer.offtrack.com
• Obtain a valid API key issued by Offtrack
• Provide accurate, current, and complete registration information
• Be at least 18 years of age or have the legal capacity to enter a contract in your jurisdiction

You are responsible for maintaining the confidentiality of your API key and for all activity that occurs under your account. You must notify us immediately at info@offtrack.com if you suspect unauthorized use of your API key. Offtrack reserves the right to suspend or terminate API keys at its discretion.

 

3. Permitted Use

Subject to these Terms, Offtrack grants you a limited, non-exclusive, non-transferable, revocable license to access and use the API solely for lawful purposes, including:

• Building applications or tools that integrate DJ song library management
• Uploading and analyzing audio or video files for your own or your end users’ use
• Generating DJ mixes and transitions via the /mix endpoint
• Internal development, testing, and research

 

4. Prohibited Use

You agree not to use the API to:

• Upload, store, or transmit content that infringes any third-party intellectual property rights, including copyrighted music without proper authorization
• Distribute, sublicense, sell, or resell access to the API itself
• Circumvent, disable, or interfere with security features of the API or Offtrack’s infrastructure
• Reverse-engineer, decompile, or attempt to extract source code from the API or its underlying audio analysis systems
• Upload malware, harmful code, or files intended to damage systems
• Use automated scripts to abuse API rate limits or exceed fair usage in a manner that degrades service for others
• Engage in any activity that violates applicable laws or regulations

 

5. Content and Intellectual Property

5.1 Your Content

You retain ownership of all audio files and content you upload (“Your Content”). By uploading content to the API, you grant Offtrack a limited, non-exclusive license to process, analyze, and store Your Content solely for the purpose of providing the API services to you.

5.2 Copyright Compliance

You represent and warrant that you own or have sufficient rights, licenses, or permissions to upload, use, and authorize Offtrack to process all content you submit. Offtrack does not assume liability for copyright infringement arising from content you upload. You are solely responsible for ensuring your use of copyrighted music complies with applicable law, including licensing requirements.

5.3 Offtrack Intellectual Property

The Offtrack API, audio analysis algorithms, mix generation technology, documentation, and all related intellectual property are and remain the exclusive property of MIXONSET Inc. These Terms do not grant you any rights in or to Offtrack’s intellectual property except as expressly set out herein.

 

6. Data and Privacy

Your use of the API is subject to Offtrack’s Privacy Policy, available at offtrack.com. By using the API, you consent to the collection and use of data as described therein.

Offtrack may collect usage metrics, error logs, and performance data related to your API calls to improve service reliability and quality. Uploaded audio files are stored for the purpose of analysis and mix generation and are associated with your account.

You are responsible for obtaining any required consents from your end users regarding data you submit through the API.

 

7. Service Availability and Modifications

Offtrack will use commercially reasonable efforts to keep the API operational. However, we do not guarantee uninterrupted, error-free service. We reserve the right to:

• Modify, suspend, or discontinue any part of the API at any time with or without notice
• Impose usage limits, rate limits, or quotas to protect service stability
• Update these Terms at any time; continued use of the API after notice constitutes acceptance

We will endeavor to provide advance notice of breaking changes to the API via the developer portal or email.

 

8. Disclaimers

THE API IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, OFFTRACK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AUDIO ANALYSIS RESULTS. OFFTRACK DOES NOT WARRANT THAT ALL UPLOADED SONGS WILL BE SUCCESSFULLY ANALYZED OR DEEMED MIXABLE.

 

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OFFTRACK, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE API, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OFFTRACK’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO OFFTRACK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100.00).

 

10. Indemnification

You agree to indemnify, defend, and hold harmless MIXONSET Inc. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the API in violation of these Terms
• Your Content, including any copyright infringement claims
• Your violation of any applicable law or third-party rights
• Applications you build using the API

 

11. Term and Termination

These Terms remain in effect while you use the API. Either party may terminate this agreement at any time. Offtrack may immediately suspend or terminate your access without notice if you breach these Terms or engage in conduct that Offtrack reasonably believes is harmful to the service or other users.

Upon termination, your right to use the API ceases immediately. Sections 5.3, 8, 9, 10, and 13 survive termination.

 

12. Changes to These Terms

Offtrack may update these Terms from time to time. We will post the revised Terms on developer.offtrack.com and update the effective date. Your continued use of the API after any changes constitutes your acceptance of the revised Terms. If you disagree with a change, your sole remedy is to stop using the API.

 

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which MIXONSET Inc. is incorporated, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction, as determined by Offtrack.

 

14. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Offtrack with respect to the API.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
• Waiver: Failure by Offtrack to enforce any right under these Terms does not constitute a waiver of that right.
• Assignment: You may not assign your rights or obligations under these Terms without prior written consent from Offtrack. Offtrack may assign these Terms freely.
• Notices: Notices to Offtrack should be sent to info@offtrack.com. Offtrack may send notices to the email address associated with your account.
